1. Acceptance of terms

These Terms of Service ("Terms") govern access to and use of the website and staffing services provided by [NV Remote Staff Pro LLC] ("NV Remote Staff Pro," "we," "us," or "our"), a company registered in the State of Georgia, United States. By engaging our services or using our website, you ("Client," "you") agree to be bound by these Terms.

2. Description of services

NV Remote Staff Pro provides staffing services, sourcing, vetting, and managing remote workers for administrative, billing and invoicing, data entry, technical support, and general operational tasks, with schedules aligned to the Client's specified working hours.

3. Engagement & scoping

Each engagement begins with a scoping discussion in which the role, required skills, expected hours, and hourly rate are agreed between NV Remote Staff Pro and the Client. Rates and scope may vary by engagement and are confirmed in writing (including by email) before staffing begins.

4. Fees & billing

Client is billed monthly via a single consolidated invoice covering all resources and hours for that billing period, at the rates agreed for each role. Invoices are due within [e.g., 15] days of the invoice date unless otherwise agreed in writing. Late payments may be subject to a late fee of [e.g., 1.5% per month] or the maximum permitted by Georgia law, whichever is lower.

5. Client responsibilities

Client agrees to:

  • Provide accurate information about the scope, tools, and access required for each role
  • Grant and manage system access consistent with the principle of least privilege
  • Provide reasonable onboarding materials and points of contact for placed workers
  • Pay invoices in accordance with these Terms

6. Nature of the relationship

Workers placed by NV Remote Staff Pro are engaged by NV Remote Staff Pro, not by the Client. NV Remote Staff Pro is solely responsible for payroll, benefits, and any applicable tax obligations relating to its workers. Nothing in these Terms creates an employer-employee relationship between the Client and any worker, or a partnership or joint venture between the Client and NV Remote Staff Pro.

7. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with the engagement, and to use it only for purposes of the engagement. Workers placed with Client are bound by confidentiality obligations covering Client's data and business information.

8. Replacement policy

If a placed worker is not meeting the agreed scope of work, Client may request a replacement within the first [30] days of that worker's placement at no additional cost. Requests after this period may be subject to standard scoping and rates for a new placement.

9. Term & termination

Engagements continue on a month-to-month basis unless otherwise agreed in writing. Either party may terminate an engagement with [e.g., 14] days' written notice. Client remains responsible for payment of all fees incurred through the effective date of termination.

10. Limitation of liability

To the maximum extent permitted by Georgia law, NV Remote Staff Pro's total liability arising out of or related to an engagement shall not exceed the fees paid by Client for the services giving rise to the claim in the [three (3)] months preceding the claim. In no event shall either party be liable for indirect, incidental, special, or consequential damages.

11. Indemnification

Each party agrees to indemnify and hold the other harmless from third-party claims arising from that party's breach of these Terms, negligence, or willful misconduct, subject to the limitations set out in Section 10.

12. Disclaimer of warranties

Services are provided on an "as is" and "as available" basis. NV Remote Staff Pro makes no warranties, express or implied, regarding the services except as expressly stated in these Terms or a separate written agreement between the parties.

13. Dispute resolution & governing law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles. Any dispute arising out of these Terms shall be resolved in the state or federal courts located in [County] County, Georgia, and each party consents to the exclusive jurisdiction of those courts.

14. Changes to these terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
